Terms of Use
Pending legal review, not legal advice
This document is provided for transparency. It has not been reviewed by a qualified lawyer and is not legal advice, and it does not guarantee any particular legal protection. A review by counsel is planned. Last updated: September 24, 2026.
1. Acceptance of these terms
These Terms of Use ("Terms") are a binding agreement between you and Neverland Technologies, LLC, a Delaware limited liability company doing business as "ZipRecover" ("Neverland Technologies", "we", "us", or "our"). They govern your access to and use of the ziprecover.online website and the browser-based ZIP password recovery tool made available through it (together, the "Service"). By accessing or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the documents incorporated into them, including our Acceptable Use Policy and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.
These Terms are provided as a draft for transparency and are not legal advice. Please read them carefully, because they include a limitation of our liability, a disclaimer of warranties, an indemnification obligation, and, in Section 16, provisions relating to dispute resolution that affect your legal rights.
2. Eligibility and capacity
You may use the Service only if you are at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, and you have the legal capacity to enter into a binding contract. By using the Service, you represent and warrant that you meet these requirements, that all information you provide is accurate, and that your use of the Service does not violate any law or regulation applicable to you or any agreement by which you are bound. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
3. Description of the Service
The Service is a client-side tool that attempts to recover passwords for password-protected ZIP archives. All processing runs locally in your web browser using WebAssembly, typically within Web Workers on your device. Your archive is read on your device using the browser File API and is not uploaded to us. We do not receive, collect, store, or have access to your archive, the contents of any file inside it, the filenames stored inside it, the candidate passwords you test, any password that is recovered, or any hash or fingerprint of your archive. Additional detail appears on our Security and privacy page and in our Privacy Policy.
The Service is provided free of charge and on an "as is" and "as available" basis for lawful use only. We may change, suspend, limit, or discontinue the Service or any part of it at any time, with or without notice.
4. Authorized use only; your representation and warranty
You may use the Service only on ZIP archives that you own or that you have explicit, current authorization from the lawful owner or an authorized controller to access. Each time you use the Service, you represent and warrant that:
- You own each archive you load, or you hold explicit authorization to attempt recovery of its password and to access its contents;
- Your use of the Service, and your access to the archive and its contents, is lawful in every jurisdiction that applies to you and to the data involved;
- You are not using the Service to access data belonging to any other person or organization without authorization; and
- You have made and maintain your own backups of any archive or data before using the Service.
Attempting to access files without authorization may violate computer-misuse, privacy, data-protection, wiretapping, trade-secret, and other laws, and may result in civil and criminal liability. You are solely responsible for determining whether you are authorized, and this representation and warranty is a material condition of your right to use the Service.
5. Prohibited uses
You agree that you will not, and will not attempt to, use the Service to:
- Access, or attempt to access, any archive you do not own or lack authorization to access;
- Defeat, bypass, or circumvent security or access controls protecting data belonging to others;
- Facilitate unauthorized access, industrial espionage, stalking, harassment, or any invasion of privacy;
- Process, store, or handle material that is unlawful for you to possess or handle;
- Violate any applicable law, regulation, court order, or third-party right, including intellectual-property, data-protection, computer-misuse, and export-control laws;
- Interfere with, disrupt, degrade, probe, scan, or place undue load on the Service, its infrastructure, or its hosting or delivery providers;
- Reverse engineer, decompile, or attempt to derive source code except to the extent this restriction is prohibited by applicable law or permitted by an applicable open-source license;
- Introduce malware or use the Service to develop, test, or deliver malicious code; or
- Misrepresent your identity or your authorization to any person.
Further detail is provided in our Acceptable Use Policy, which is incorporated into and made part of these Terms. A violation of that Policy is a violation of these Terms.
6. No guarantee of results
Password recovery is inherently uncertain. Whether a password can be recovered depends on factors outside our control, including the password's length, complexity, and randomness and the archive's encryption method. Modern encryption, including AES with slow key derivation, is designed to make guessing expensive and may be infeasible to recover. We do not guarantee that any password will be recovered, that recovery will occur within any time frame, or that any result will be accurate, and no statement on the Service should be read as such a guarantee.
7. Assumption of risk
You use the Service at your own risk. Because the Service runs on your own device and browser, you assume all risk arising from your use of the Service, including any loss, corruption, or unavailability of your archives, files, or other data, any wear on or interruption of your device, and any consequence of acting on a recovered or purported result. You are solely responsible for maintaining current, independent backups of your data before and during use. We are not a data-recovery, forensic, or custodial service and do not take custody of your files.
8. No professional or legal advice
The Service and all content on ziprecover.online are provided for general informational purposes only and do not constitute legal, forensic, security, or other professional advice. Nothing on the Service determines or verifies whether you are authorized to access any archive. You are responsible for obtaining your own professional advice where appropriate and for ensuring your use is lawful.
9. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. Neverland Technologies and its members, officers, employees, agents, contractors, licensors, and suppliers expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, accuracy, and any warranties arising from a course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components, that any defects will be corrected, that results obtained through the Service will be accurate or reliable, or that the Service will meet your requirements or be available in any location or at any time. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
10. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Neverland Technologies or its members, officers, employees, agents, contractors, licensors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, files, goodwill, or business opportunity, or for business interruption or cost of substitute services, arising out of or related to these Terms or your access to or use of, or inability to use, the Service, whether based on warranty, contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages, and even if a limited remedy is found to have failed of its essential purpose.
To the maximum extent permitted by applicable law, the total aggregate liability of Neverland Technologies and the parties listed above for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the total amount you paid us, if any, for the Service in the twelve (12) months preceding the event giving rise to the claim, which is zero for a Service provided free of charge, or (b) one hundred United States dollars (US$100). These limitations apply to the fullest extent permitted by law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you, and in such cases our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Neverland Technologies and its members, officers, directors, employees, agents, contractors, licensors, and suppliers (the "Indemnified Parties") from and against any and all claims, demands, actions, investigations, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your access to or use of the Service; (b) your violation of these Terms, the Acceptable Use Policy, or any applicable law or regulation; (c) your violation of any right of any third party, including any owner of an archive or its contents; (d) any unauthorized use of the Service on archives you were not permitted to access; and (e) any content or data you process using the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense. You will not settle any matter that affects an Indemnified Party without our prior written consent.
12. Intellectual property and open-source components
The Service, including the ziprecover.online website, its text, design, graphics, and the "ZipRecover" name and branding, is owned by Neverland Technologies or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service in accordance with these Terms, no license or right is granted to you by implication, estoppel, or otherwise. You may not copy, modify, distribute, sell, or lease any part of the Service or our branding except as expressly permitted by these Terms or applicable law.
The recovery engine relies on third-party open-source components that are provided under their own licenses, including hash-wasm (MIT), zip.js (BSD-3-Clause), and fflate (MIT). Those components remain the property of their respective authors, and your use of them is governed by their respective licenses. Nothing in these Terms limits your rights under, or supersedes the terms of, any applicable open-source license.
13. Your content and responsibility
You retain all rights in the archives and data you process with the Service. We do not claim ownership of them and, because processing is local, we do not receive them. You are solely responsible for the archives and data you process, for the legality of your use, and for compliance with any obligations you owe to others with respect to that data. You bear all responsibility and liability for any consequences of your use of the Service.
14. Suspension and termination
These Terms remain in effect while you use the Service. We may, in our sole discretion and without liability, and with or without notice, suspend, restrict, or terminate your access to the Service or any part of it, block access from particular networks or regions, or discontinue the Service, for any reason or no reason, including if we believe you have violated these Terms or the Acceptable Use Policy or that your use poses a risk to us, the Service, or others. Provisions that by their nature should survive termination, including Sections 7 through 12 and Sections 15 through 19, will survive.
15. Governing law
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, United States, and, where applicable, the laws of the United States, without regard to conflict-of-law principles. Subject to Section 16, the exclusive jurisdiction and venue for any dispute not subject to arbitration will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply. [Owner to confirm the governing-law and venue selection with counsel, as your location or user base may make a different choice appropriate.]
16. Dispute resolution; arbitration and class-action waiver
Please read this section carefully, as it affects how disputes are resolved and limits the way you can seek relief. This section is a draft and its enforceability varies by jurisdiction; counsel should confirm and tailor it, and some jurisdictions and consumers are exempt from parts of it.
Informal resolution. Before starting any formal proceeding, you agree to first contact us at legal@ziprecover.online and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its then-current consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorized access. The arbitration will be governed by the Federal Arbitration Act to the extent applicable.
Class-action waiver. To the maximum extent permitted by applicable law, you and Neverland Technologies each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any representative proceeding.
Limitations. Some jurisdictions do not permit mandatory arbitration or class-action waivers for consumers, and applicable law may give you a right to opt out or render parts of this section unenforceable. Where any part of this section is unenforceable as to a particular claim or person, that part will be severed and the dispute will proceed in the courts identified in Section 15, and the remainder of these Terms will continue in effect.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Changes are effective when posted, and your continued access to or use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
18. General
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that or any other right or provision, and any waiver must be in writing to be effective.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Entire agreement. These Terms, together with the Acceptable Use Policy and the Privacy Policy, constitute the entire agreement between you and Neverland Technologies regarding the Service and supersede any prior agreements or understandings on that subject.
